Please read these Terms & Conditions carefully before using the Crizac Ai Studio platform. By accessing or using our services, you agree to be bound by these terms. If you do not agree, please discontinue use immediately.

1 Agreement to Terms

These Terms & Conditions ("Terms") constitute a legally binding agreement between you (the "User") and Crizac Limited ("Crizac", "we", "us"), a company incorporated in the United Kingdom, listed on BSE and NSE, governing your access to and use of the Crizac Ai Studio platform, including all products, features, APIs, and associated services (collectively, the "Platform").

If you are using the Platform on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.


2 Our Services

Crizac Ai Studio provides AI-powered intelligence products for higher education institutions, education agents, and related organisations. Our current products include:

  • Model I — AI-Conducted Compliance Interviews: An AI system that conducts structured interviews for student visa compliance and genuineness assessments. Available to licensed institutional partners only.
  • Model II — LLM Citation Intelligence: A platform that monitors how major large language models (ChatGPT, Claude, Gemini, Perplexity, Grok, DeepSeek) respond to prospective student queries and where institutions are cited.
  • Model III — Foundational Model: Under development; subject to separate NDA and agreement.

We reserve the right to modify, suspend, or discontinue any part of the Platform at any time with reasonable notice.


3 Access & Accounts

Access to the Platform requires an authorised account. You are responsible for:

  • Maintaining the confidentiality of your login credentials and access codes.
  • All activity that occurs under your account.
  • Notifying us immediately of any unauthorised access or security breach.
  • Ensuring that all information you provide is accurate and up to date.

Access codes are non-transferable and issued per institution or authorised user. Sharing access credentials with unauthorised parties is a material breach of these Terms.

We reserve the right to suspend or terminate accounts that breach these Terms, engage in fraudulent activity, or pose a security risk to the Platform.


4 Acceptable Use

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You must not:

  • Use the Platform for any illegal, fraudulent, or harmful purpose.
  • Attempt to gain unauthorised access to any part of the Platform or its underlying systems.
  • Scrape, crawl, or systematically extract data from the Platform without written authorisation.
  • Reverse engineer, decompile, or attempt to extract the source code of any Platform component.
  • Submit prompts or data designed to circumvent safety systems, extract proprietary model information, or generate harmful content.
  • Use the Platform in a manner that infringes any third-party intellectual property rights.
  • Impersonate any person or organisation or misrepresent your affiliation.
  • Introduce malicious code, viruses, or disruptive technologies into the Platform.

Violation of acceptable use policies may result in immediate account suspension and, where applicable, referral to relevant legal authorities.


5 Intellectual Property

All intellectual property rights in the Platform, including software, algorithms, models, data structures, visual designs, and documentation, are owned by or licensed to Crizac Limited. Nothing in these Terms grants you any rights in such intellectual property except as expressly set out herein.

You retain ownership of content you submit to the Platform (such as prompts and institutional information). By submitting content, you grant Crizac a limited, non-exclusive licence to process that content solely for the purpose of delivering the requested service.

Reports and outputs generated by the Platform for your account are licensed to you for internal use only. You may not redistribute, resell, or publish Platform outputs without our prior written consent.


6 Data & Privacy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using LLM Citation Intelligence, you acknowledge that prompts are transmitted to third-party AI model APIs (OpenAI, Anthropic, Google, Perplexity, xAI, DeepSeek) for processing. Do not submit personally identifiable information about individuals in prompts unless it is your own information and you have appropriate legal basis to do so.

We process personal data in accordance with UK GDPR. Where we act as a data processor on behalf of an institutional client, we will enter into a Data Processing Agreement.


7 Subscriptions & Payment

Certain Platform features require a paid subscription or institutional licence agreement. Specific pricing, payment terms, and subscription conditions are set out in your order or agreement with Crizac.

  • Subscriptions are invoiced in advance for the agreed period (monthly or annual).
  • All fees are exclusive of VAT and applicable taxes unless stated otherwise.
  • Failure to pay fees when due may result in suspension of Platform access.
  • Refunds and cancellation rights are governed by our Refund Policy.

We reserve the right to change pricing with reasonable notice. Price changes will not affect your current subscription period but will apply on renewal.


8 Liability & Disclaimers

The Platform is provided on an "as is" and "as available" basis. To the fullest extent permitted by law:

  • We make no warranty that the Platform will be uninterrupted, error-free, or fit for any particular purpose.
  • AI-generated outputs, reports, and citation data are provided for informational purposes. They should not be relied upon as the sole basis for significant institutional, legal, or strategic decisions.
  • We are not responsible for the content, accuracy, or availability of third-party AI models or services accessed through the Platform.

To the maximum extent permitted by applicable law, Crizac's total liability to you for any claim arising under these Terms shall not exceed the fees paid by you to Crizac in the three months preceding the event giving rise to the claim.

Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be lawfully excluded.


9 Termination

Either party may terminate a subscription or access arrangement in accordance with the notice provisions in the applicable agreement. We may terminate or suspend your access immediately if:

  • You materially breach these Terms and fail to remedy such breach within 14 days of notice.
  • We are required to do so by law or regulation.
  • We reasonably believe continued access poses a security or legal risk.

On termination, your right to access the Platform ceases. Provisions of these Terms that by their nature should survive termination (including intellectual property, limitation of liability, and governing law) shall continue to apply.


10 Governing Law & Disputes

These Terms are governed by the laws of England and Wales. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

We encourage you to contact us in the first instance to resolve any dispute informally. For institutional agreements, the dispute resolution procedure in your agreement will apply.

We may revise these Terms from time to time. Continued use of the Platform after changes are posted constitutes your acceptance of the revised Terms. Material changes will be communicated to active users with reasonable notice.
